Pepsi® presents the NHL® All-Star Game is at your doorstep with Mikes Contest (the "Contest")

This Contest is intended for viewing and participation in Quebec, Ontario and New-Brunswick only, and shall be construed and evaluated according to the laws in effect in these provinces. Please do not proceed if you are not a legal resident of Quebec, Ontario or New Brunswick at the time of entry. You must be 18 years of age or older to enter.

1. The sponsors of this Contest are PepsiCo Canada ULC ("Pepsi") and MIKES® restaurants (collectively, the "Contest Sponsors").

2. CONTEST PERIOD:
The Contest will start on September 13, 2010, at 12:00:01 a.m. (ET) and will run until November 14, 2010, at 11:59:59 p.m. (ET) (the "Contest Period"), after which time no further entries will be accepted.

3. HOW TO ENTER:

Visit the Contest page at www.mikes.ca, during the Contest Period and complete the Contest entry registration, including your first name, last name, complete address (including postal code), confirmation that you are 18 years of age or older, email address, as well as your telephone number (including area code). Enter the code number (PIN) on the participation coupon that you received at the MIKES restaurant takeout counter or on delivery, confirm that you have read and agree to be bound by the Contest rules, and submit your entry online. Once the entry is successfully submitted, you will get one (1) entry to the Contest. If you did not make a purchase, please follow the no purchase entry procedure below.

NO PURCHASE NECESSARY:

To enter without making a purchase, go to concoursmikes.com and explain to us why we should send you and a friend to the 2011 NHL® All-Star game in Raleigh, North Carolina, by submitting a letter of at least 1200 characters, with your full name, complete address (including postal code), confirmation that you are 18 years of age or older, email address and telephone number (including area code). Once the entry is successfully submitted, you will get one (1) entry to the Contest.

PIN CODE:

PIN codes can be found on Mikes' coupons provided with every delivery and takeout order. While supplies last.

All entries must be received by November 14, 2010, at 11:59:59 p.m. (ET). In the event of a dispute regarding the identity of an entrant, the entry will be deemed to have been made by the authorized account holder of the email address submitted with the entry. An authorized account holder is defined as the natural person who is assigned to an email address by an Internet access or online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. If you do not have Internet access via a personal computer, several public libraries, Internet cafés and numerous retail businesses offer access to the Internet, and a number of Internet access providers and other companies offer free email accounts.

4. ELIGIBILITY:
The Contest is open to legal residents of the provinces of Quebec, Ontario and New-Brunswick only, 18 years of age or older. Employees, representatives and agents of the Contest Sponsors (including The Pepsi Bottling Group (Canada), Co.), the National Hockey League ("NHL") and its member teams, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., NHL Enterprises B.V. and NHL Interactive CyberEnterprises, LLC (the foregoing NHL entities, collectively, the "NHL Entities"), and each of their affiliates, as well as, if applicable, their respective advertising or promotion agencies, franchisees, Contest judges, Contest prize suppliers and any other companies involved in the development, production or distribution of materials for this Contest, and immediate family members of the individuals mentioned above or persons domiciled with any of these individuals are not eligible for this Contest.

5. PRIZES:

Secondary prizes:

Secondary prizes will be awarded via a random computerized drawing from all eligible completed online entries received, until all such secondary prizes are claimed. Potential secondary prize winners will be randomly selected from all eligible entries received throughout the Contest Period on November 15, 2010, at or around 1:00 p.m. (ET). Odds of winning a secondary prize depend on the total number of eligible entries received during the Contest Period. Potential secondary prize winners will receive a notification by email indicating the prize they are eligible to win and how to claim the prize once confirmed a winner.

In order to be confirmed a winner of a secondary prize each potential winner must first correctly answer a mathematical skill-testing question without assistance of any kind, whether mechanical, electronic or otherwise, and otherwise comply with these Contest rules. All secondary prize elements will be selected by the Contest Sponsors in their sole discretion.

*Prize includes tickets to the game only. Date and time of the hockey game is at the discretion of the Contest Sponsors. Transportation to and from the game as well as all other expenses, including but not limited to, parking, food, accommodation, and any other personal expense are the responsibility of each winner.

Grand prize:

From all eligible online entries received, one (1) grand prize (the "Grand Prize") is available to be won during the Contest Period. Grand Prize includes a trip for two (2) to attend the 2011 NHL® All-Star Game in Raleigh, North Carolina from January 28 to January 31, 2011. Approximate retail value of the Grand Prize is $6,620. Actual retail value may vary depending on winner's point of departure and airfare fluctuations.

Grand Prize Includes:

Air transportation for two (2) from the major airport nearest the winner's primary place of residence in Canada to Raleigh, NC (airport, carrier and airline ticket class selected at the sole and absolute discretion of Contest Sponsors),

  • 3 nights standard hotel accommodation, double occupancy (accommodation to be selected at the sole and absolute discretion of Contest Sponsors)
  • 2 tickets to the NHL SuperSkills®
  • 2 tickets to the 2011 NHL® All-Star Game to be held on January 30, 2011 (actual seat selection to be chosen at the sole and absolute discretion of the Contest Sponsors)
  • 2 2011 NHL® All-Star Officially Licensed jerseys,
  • 2 hockey sticks autographed by a 2011 NHL® All-Star player
  • $500.00 CDN spending money for the winner only.

Excluded:

  • All activities or transportation not described herein
  • Food and drink, including cocktails, lunch or dinner
  • Travel insurance; hospital or cancellation costs
  • Compensation Fund for travel agencies (35% of the bill's total) - Fund created by the Protection du Consommateur in Quebec


All expenses not mentioned as included in the details of the Grand Prize confirmation, including, but not limited to, transportation to and from the airport, airport departure fees (if applicable), excess baggage costs, telephone, fax, internet access charges, parking fees, car rental, gas, in-room movie rental, mini bar expenses, room service, tips, meals, and any other personal expenses, or any other expenses of any kind, are the sole responsibility of the winner and/or his/her guest(s). Valid Canadian passports will be required to enter the United-States.

6. FACEBOOK ENTRY

Facebook fans are eligible to participate by uploading a photo of their face in the Mikes Promotional Application on the Facebook platform. Facebook entrants don't have to download any program or to "Like" the Mikes fan page to participate and there is no purchase necessary. Participants just need to visit the "Mikes restaurant - Page Officielle" on Facebook and upload their picture in the Mikes application which is a Contest tab. Each eligible Facebook entry will be entered in each prize draw each week as set forth below for a chance to win one of two (2) weekly prizes, each consisting of $50 in Mikes' products. The weekly prize drawings for one (1) of the two (2) weekly prizes will be held on Monday September 20 and 27, October 4, 11, 18 and 25, and November 1 and 8 at 3:00 p.m. (ET).The weekly prize drawings for the second of the two (2) weekly prizes will be held on Friday September 17 and 24, October 1, 8, 15, 22 and 29, and November 5 and 12 at 3:00 p.m. (ET). Odds of winning a weekly prize depend on the total number of eligible Facebook entries received up until each weekly draw date. Each weekly prize will be awarded via a random computerized drawing from amongst all eligible Facebook entries received by each of the dates listed herein.

In addition, all eligible Facebook entrants of the province of Quebec only, will be entered for a chance to win one pair of tickets to a NHL® hockey (the "Facebook Grand Prize"). The Facebook Grand Prize includes tickets to the game only. Date and time of the hockey game is at the discretion of the Contest Sponsors. Transportation to and from the game as well as all other expenses, including but not limited to, parking, food, accommodation, and any other personal expense are the responsibility of the winner. Approximate retail value, $500. Odds of winning the Facebook Grand Prize depend on the total number of eligible Facebook entries received during the Contest Period. The Facebook Grand Prize will be awarded via a random computerized drawing from all eligible Facebook entries received on November 15, 2010 at or around 1:00 p.m. (ET).

All potential Facebook winners will be contacted through Facebook.

7. ACCEPTANCE OF THE GRAND PRIZE:

The Grand Prize must be accepted as awarded and cannot be substituted, transferred, exchanged or surrendered for cash, unless the Contest Sponsors decide otherwise, at their sole and absolute discretion and for any reason whatsoever. The Grand Prize trip must be taken from January 28 to 31, 2011, inclusive, subject to flight, hotel and excursion availability.

8. GRAND PRIZE DRAW:
The Grand Prize draw will be held on November 15, 2010, at or around 1:00 p.m. (ET). The Grand Prize draw will take place at the Vortex Solution agency mandated for MIKES® Restaurants Inc. located at 40, Jean-Talon Est Street, Montreal, QC H2R 1S3. On the draw date indicated above, one online entry will be randomly selected from all eligible online entries received during the Contest Period. The odds of winning depend on the total number of eligible online entries received during the Contest Period. The Contest Sponsors assume no responsibility for a potential entrant's inability to successfully enter the draw, for any reason. The Contest Group (as defined under Rule no. 10 below) is not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete entries. Proof of transmission and/or mailing does not constitute proof of delivery. The name of the Grand Prize winner shall be announced on the Contest page at www.mikes.ca in the month of November 2010.

9. HOW TO WIN AND CLAIM THE GRAND PRIZE:

The selected potential Grand Prize winner will be notified by phone or by email within seven (7) days of the draw with instructions on how to claim his/her prize. To be declared a winner, the selected entrant must first correctly answer the required mathematical skill-testing question without assistance of any kind, whether electronic, mechanical or otherwise, by phone or email, must sign and return to the Contest Group (as defined under Rule no. 10) a form of Declaration of Compliance and Release by the deadline specified therein, and otherwise comply with the official Contest rules.

10. The awarding of any prize is subject to verification and compliance with these official Contest rules. All entrants who have not complied with the official Contest rules will be disqualified from the Contest. Each potential winner may be required to furnish proof of identification that may include a driver's license or other form of picture identification as part of the verification process. If a selected entrant cannot be located or does not respond within fourteen (14) days of the prize notification, he/she will be disqualified from the Contest and considered as having forfeited the prize, and the Contest Sponsors will, at their sole and absolute discretion, select by random draw another eligible entrant whom the Contest Sponsors or their representatives will attempt to contact, and who will be subject to disqualification, in the same manner. The Contest Sponsors will not be responsible for failed attempts to notify any potential winner. Please allow four (4) to six (6) weeks from the date of the draws for verification of Contest winners and prize fulfillment. The Contest Sponsors are not responsible for failed attempts to notify a selected entrant and assume no responsibility for any postal mail or overnight delivery returned as undeliverable without a forwarding address. The Contest Sponsors assume no responsibility for any prize after it has been remitted. The Contest Sponsors will contact all winners with procedures to pick up their prizes.

11. OTHER CONDITIONS OF PARTICIPATION:
By entering this Contest, each entrant accepts and agrees to these official Contest rules and all decisions of the Contest judges (who may be employees, agents or independent contractors of the Contest Sponsors), if any, which shall be final and legally binding on the entrants in all matters relating to this Contest including, without limitation, eligibility and/or disqualification of entries. All online entries become the property of the Contest Sponsors and will not be acknowledged or returned. To be confirmed a winner and receive a prize, each potential winner (as well as his/her potential guests in the case of the Grand Prize) will be required to sign and return the Contest Sponsors' form of Declaration of Compliance and Release by the deadline specified therein. The Declaration of Compliance and Release confirms compliance with these official Contest rules and releases the Contest Sponsors, The Pepsi Bottling Group (Canada), Co., the NHL Entities and their agencies and franchisees, as well as Contest prize suppliers and their respective officers, directors, employees and agents (collectively, the "Contest Group") from all liability with respect to the entrant's participation in this Contest and the awarding and use of any prize. Each potential winner agrees to the use of his/her name, comments, photograph and/or other likeness for publicity purposes, and grants to the Contest Sponsors any and all rights to said use, without further notice or compensation. Entrants who do not comply with these official Contest rules will be disqualified from the Contest.

12. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux (the "Régie") for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

13. Entrants and/or winners assume liability for damage caused, or claimed to be caused, by participating in the Contest, by the acceptance, possession, use or misuse of any prize awarded, including, but not limited to, claims/damages for personal injury, property damage or any travel related thereto.

14. Any attempt by an entrant or other individual, to deliberately damage any website or undermine the legitimate operation of this Contest, including, but not limited to, any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, the Contest Sponsors reserve the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Entrants involved in any of the foregoing activities may be disqualified and will forfeit any prizes won.

15. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified.

16. LIMITATION OF LIABILITY:

By entering this Contest, each winner acknowledges and agrees that the Contest Sponsors and the Contest Group: (i) assume no responsibility of any kind concerning the Contest and (or) the awarding, use or misuse of any prize, including any travel related thereto, (ii) offer no warranty, guaranty or representation of any kind concerning any prizes, (iii) disclaim any implied warranty, and (iv) are not liable for injuries, loss or damage of any kind resulting from the entrant's acceptance, use or misuse of a prize, including any travel related thereto, or otherwise from such entrant's participation in this Contest.

17. The Contest Sponsors and the Contest Group may, at their sole discretion and without liability, amend or terminate the Contest at any time, in whole or in part, without notice, subject to the approval of the Régie, if fraud, technical failures including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Contest Sponsors corrupt the administration, integrity or security of the Contest or if any other factor interferes with the conduct of this Contest as contemplated by these official Contest rules. Without restricting the generality of the foregoing, and subject to the approval of the Régie, if for any reason more entrants receive a "win" notice than the number of prizes stated herein, the Contest Sponsors reserve the right, at their sole discretion, to terminate the Contest in whole or in part, or amend or suspend it and award only the number of prizes stated in these official Contest Rules via a random draw for the prizes not yet distributed at the time the Contest is terminated, suspended or amended. In the event of early termination of the Contest, a notice will be posted online and a random draw to award the prize(s) will be conducted from among all eligible entries received prior to the time of termination. Under no circumstances will the number of prizes awarded exceed the number of prizes as specified in these official Contest Rules. If any activity related to any prize is canceled or postponed for any reason, the balance of that prize will be awarded in full satisfaction of the prize award.

18. The Contest Sponsors and the Contest Group are not responsible for printing, typographical, distribution, production or other errors in the offer or administration of this Contest, including, but not limited to, errors in advertising, the official Contest rules, the selection and announcement of winners, distribution of prizes or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Contest Sponsors or an entrant for any reason including, but not limited to, traffic congestion on the Internet or at any website or combination thereof. The Contest Group is not responsible for damage to a user's system caused by participation in this Contest or by downloading any information necessary for entering this Contest.

19. The Contest Group does not warrant that access to or use of the Contest will be uninterrupted or error free.

20. Under no circumstances, including negligence, shall the Contest Group be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the service, or out of any breach of any warranty. This exclusion or limitation of liability will not apply to the extent that any applicable statute prohibits such exclusion or limitation of liability.

21. This Contest is subject to all applicable federal, provincial and municipal laws.

22. All issues and questions concerning the construction, validity, interpretation and enforceability of these official Contest Rules, or the rights and obligations of entrants and the Contest Sponsors in connection with the Contest shall be governed by, and construed in accordance with, the substantive laws of the Province of Quebec without regard to Quebec conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Quebec.

23. PERSONAL INFORMATION. Unless entrants have indicated otherwise, the personal information gathered about entrants in the course of this Contest will be used solely by the Contest Sponsors for the administration of the Contest and for Contest advertising purposes.

24. PepsiCo Canada ULC ("Pepsi"), the Pepsi Bottling Group (Canada), Co. ("PBG") and the NHL Entities are not connected with the administration of this Contest. They are not responsible for the conduct of the draws, the collection of personal information on the mikes.ca or concoursmikes.com websites, or for the distribution of prizes.
